Club Objectives

This organization is founded to advance the best interest of the State and the Nation through the agency of the Republican Party. 

Its objectives shall be:

  • To promote an informed electorate through political education and activity.
  • To increase the effectiveness of women in the cause of good government.
  • To facilitate cooperating among the Republican Women’s Clubs.
  • To foster loyalty to the Republican Party and to promote its principles and candidates in all elections, including non-partisan elections.
  • To support the objectives and policies of the Republican Party of Wisconsin and the Republican National Committee.
  • To work for the election of the Republican Party’s nominees.

REPUBLICAN WOMEN’S CLUB OF WAUKESHA COUNTY

ARTICLE 1.            NAME
 
Section 1.          The name of this organization shall be the REPUBLICAN WOMEN’S CLUB OF WAUKESHA COUNTY.
 
 
ARTICLE 2.            OBJECTIVES

ARTICLE 3.            MEMBERSHIPS
 
Section 1.          Membership in this organization shall be extended to all women of voting age who are not in conflict with its objectives and who subscribe to the by-laws of this organization, and to the by-laws of the state and national federations.
 
Section 2.          Membership shall be effective upon payment of dues to the Treasurer prior to the opening of a meeting.  A membership shall be considered expired if a member’s dues are not paid within thirty (30) days after the end of the fiscal year.
 
Section 3.          Associate Membership:  Republican men may be eligible for associate membership only upon payment of required annual dues.  Republican women who are regular members of a unit club and who wish to support other unit clubs may be eligible for associate membership upon payment of required annual dues.
 
 
ARTICLE 4.            DUES
 
Section 1.          The fiscal year of this organization shall be January 1st through December 31st.
 
Section 2.          Annual dues shall be determined by 2/3 vote and payable to the Treasurer.  For renewing members, membership dues shall be payable on or before January 31st of each year.  Membership dues received from new members will be applied to the current year if received prior to October 1st, and afterward applied to the following membership year beginning January 1st.
 
Section 3.          The Treasurer shall remit the required service charge to the State Treasurer with the first payment of annual dues for each fiscal year.
 
 
ARTICLE 5.            OFFICERS AND THEIR DUTIES
 
Section 1.          Each elected or appointed officer and members of all committees shall be active members in good standing of the organization.
 
Section 2.          The officers of this organization shall consist of a President, a First Vice-President, a Second Vice-President, a Corresponding Secretary, a Recording Secretary and a Treasurer.
 
Section 3.          The officers shall be elected by a majority vote of members present at a duly constituted annual meeting for a term of two (2) years.  No officer may serve more than two (2) consecutive terms in the same office with the exception of the Treasurer who can serve three (3) terms.  The term of office shall be from January 1st following the election through December 31st two (2) years hence, regardless of when installation takes place.  Officers shall serve until their successors take office.
 
Section 4.          The President shall preside at all meetings of the organization and of the Executive Committee and shall have general supervision of the work of the organization.  The President is automatically delegated to represent this organization at state and district meetings.  Her expenses for these functions shall be offset at the discretion of the Executive Committee.  If the President is unable to attend, the Executive Committee shall appoint another of its members to act as representative.
 
Section 5.          The First Vice-President shall preside in the absence of the President. 
 
Section 6.          The Second Vice-President shall preside in the absence of the President and the First Vice-President.
 
Section 7.          The Recording Secretary shall keep and read minutes of all meetings of the organization.
 
Section 8.          The Corresponding Secretary shall maintain a list of all members, together with their current addresses, and shall be responsible for the mailing of the newsletter and all the correspondence of the organization.
 
Section 9.          The Treasurer shall receive, and be custodian of, all funds of the organization and shall pay all the bills when approved by the President.  The Treasurer shall keep an account of all monies received and disbursed and shall report in full at the Annual Meeting, or at the request of the President.
 
 
 
ARTICLE 6.            EXECUTIVE COMMITTEE
 
Section 1.          The Executive Committee shall consist of the duly elected officers and not less than five (5), or more than ten (10), members-at-large.  The immediate past President shall be an ex officio member.
 
Section 2.          Members-at-large shall be elected by a majority vote of members present at a duly constituted annual meeting for a term of two (2) years.
 
Section 3.          The Executive Committee shall have the authority to transact business between meetings; to make recommendations as to the policies of the organization; to direct the disbursement of funds; to provide for an annual audit; to complete slates of delegates to the district, state and national conventions; to advise the President and to perform any other duties prescribed under these by-laws.
 
Section 4.          The Executive Committee shall fill any vacancy in office that occurs between elections by a majority vote of the members present and voting. 
 
Section 5.          The Executive Committee may remove from office by a two-thirds vote of the total Committee, any officer, member-at-large, standing committee chairman or member who does not support the by-laws and objectives of the organization and the state and national federation.
 
Section 6.          Meetings of the Executive Committee shall be at the call of the President or upon written request of a majority of the members of the Committee.  In case of an emergency meeting, 24 hours notice shall be required.
 
Section 7.          Five (5) members shall constitute a quorum for all meetings of the Executive Committee, providing two are officers.
 
 
ARTICLE 7.            COMMITTEES
 
Section 1.          Standing Committees shall be determined by the Executive Committee to conform with the by-laws of the state and national federations.  The chairman and members of the committees shall be appointed by the President, subject to the approval of the Executive Committee.
 
Section 2.          In addition to the foregoing committee, the President, with the consent of the Executive Committee, may establish such other special or temporary committees as may be deemed necessary or desirable.
 
 
ARTICLE 8.            NOMINATIONS AND ELECTIONS
 
Section 1.          Nominations
(a)            A Nominating Committee of not less than three (3) members, nor more than five (5) members, shall be elected by the Executive Committee at least sixty (60) days prior to each election.  The current President shall not be a member of the Committee.  This Committee shall report at least one nominee for each office, to be published with the notice of the meeting at which the election is to be held.
(b)            Nominees shall be members in good standing for no less than three (3) months prior to the date of the election, and shall be in accord with the objectives, by-laws and policies of this organization, the state and national federations and the Republican Party.
(c)            The Nomination Committee should try to nominate candidates for member-at-large who represent all geographic areas of the county. 
(d)            Nominations may be made from the floor following the report of the nominating committee, providing the nominee has consented to serve if elected. 
 
Section 2.            Elections
(a)            Officers and members-at-large of the Executive Committee will be elected at the duly constituted Annual Meeting held during odd-numbered years.
(b)            When there is only one candidate for an office, election may be by voice vote.  When more than one candidate is nominated for an office, election shall be by written ballot.  A majority of the votes cast shall elect.
(c)            Qualified and voting members of this organization at an annual meeting shall be those members who have been recorded as having paid dues no less than three (3) months prior to the date of the annual meeting.
 
 
ARTICLE 9.            MEETINGS
 
Section 1.          There shall be at least five (5) general meetings held each year.  The date and time of general meetings shall be determined by the Executive Committee.
 
Section 2.          Special meetings may be called by the President, the Executive Committee or upon petition of twenty (20) members in good standing or 10% of the members in good standing, whichever number is greater.  Such petition shall state the exact purpose for the special meeting.  The Executive Committee shall set a date for the special meeting, to be held no more than twenty (20) days after receiving the petition.
 
Section 3.          Written notice of general and special meetings shall be received by each member at least seven (7) days in advance.
 
Section 4.          A quorum for conducting business at a regular or special meeting shall be not less than ten (10) members empowered to vote.
 
 
ARTICLE 10.            ANNUAL MEETING
 
Section 1.          An annual meeting shall be held each year prior to December 15th and not earlier than October 1st.  Notice of annual meetings shall be mailed and postmarked at least twenty (20) days prior to the date of the annual meeting to each member in good standing.  The time and the date of each annual meeting shall be determined by the Executive Committee.
 
Section 2.          Resolutions may be considered at each annual meeting.  Resolutions submitted by the general membership shall be submitted to the Resolutions Committee in writing, in triplicate, at the time stipulated in the notice, as determined by the Executive Committee.
 
 
ARTICLE 11.            PARLIAMENTARY AUTHORITY
 
Section 1.          “Robert’s Rules of Order, Newly Revised” shall govern this organization in all instances where they are applicable and in which they are not inconsistent with these by-laws.
 
 
ARTICLE 12.            BY-LAWS AND AMENDMENTS
 
Section 1.          In the event of any conflicts or ambiguity of these by-laws, the by-laws of the Wisconsin Federation of Republican Women and the National Federation of Republican Women shall prevail.
 
Section 2.          These by-laws may be amended or revised by an affirmative vote of two-thirds of all members present at any meeting of this organization where the notice states such purpose.
 
Section 3.          Any amendments or revisions shall have been approved by the Executive Committee of this organization and the Revision and By-Laws Committee of the State Federation at least twenty (20) days prior to being presented to the general membership.
 
Section 4.          STANDING RULE OF ORDER:
                        Any expense over fifty (50) dollars should be approved by the board, with the exception of the Ways and Means Committee.
